These Terms of Service ("Terms") are a binding agreement between you and Event ConnecTD LLC ("Event ConnecTD," "we," "us," or "our") governing your access to and use of eventconnectd.com and related services (together, the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you are using the Platform on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
If you do not agree to these Terms, do not use the Platform.
1. What Event ConnecTD Is (and Is Not)
Event ConnecTD is a two-sided marketplace and sourcing platform that connects companies, corporate event planners, and incentive travel organizations ("Companies") with independent freelance Travel Directors ("TDs") for events and travel programs.
Event ConnecTD is not a staffing agency, employer, or employment service. We do not:
- Employ, supervise, direct, or control TDs
- Assign TDs to programs or guarantee any placement, engagement, or income
- Act as an agent, broker, or representative of any user
- Bill for, collect, or process payment for TD labor
- Guarantee the performance, qualifications, or conduct of any user
All service engagements are contracts formed directly between a Company and a TD. Event ConnecTD is not a party to those contracts.
2. Eligibility
To use the Platform you must:
- Be at least 18 years old
- Have the legal capacity to enter into a binding contract
- Not be barred from using the Platform under applicable law
By registering, you represent that all information you provide is accurate, current, and complete, and you agree to keep it that way.
3. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.
We may suspend or terminate any account, with or without notice, for:
- False, misleading, or incomplete information
- Fraud or suspected fraud
- Fee circumvention (see Section 6)
- Harassment or abuse of other users
- Any violation of these Terms
4. How the Platform Works
Companies may engage TDs through the hiring modes offered on the Platform, which may include RFP, Personal Selection, and We Manage. Regardless of hiring mode, the Company selects the TD, and the resulting work engagement is between the Company and the TD directly.
TD profiles, including experience, past programs, and references, are provided by the TDs themselves. While we may apply vetting criteria for admission to the Platform, we do not verify, warrant, or guarantee any TD's qualifications, licensure, background, or performance. Companies are solely responsible for evaluating and selecting TDs, including any background checks or verification they consider necessary.
5. Fees
Companies. Companies pay Event ConnecTD a finder's fee calculated as a percentage of the total TD labor cost for each engagement sourced through the Platform. The applicable rate and payment terms are disclosed during onboarding or in a separate written agreement, and are incorporated into these Terms. Finder's fees are invoiced by Event ConnecTD and are due according to the invoice terms. Event ConnecTD invoices only for the finder's fee; TD compensation is paid by the Company directly to the TD.
Travel Directors. TDs may currently use the Platform free of charge. We may introduce TD-side fees in the future with at least 30 days' notice.
Late payment. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs.
No refunds. Fees are non-refundable except where required by law or expressly agreed in writing.
6. Non-Circumvention
The value of the Platform is the introduction. You agree not to circumvent Event ConnecTD's fees.
If a Company is introduced to a TD through the Platform (including viewing a profile, receiving a proposal or roster, or communicating through the Platform), and the Company engages that TD for services within twelve (12) months of the introduction, whether on or off the Platform, the applicable finder's fee is owed to Event ConnecTD for that engagement.
"Circumvention" includes, without limitation:
- Contracting with a Platform-introduced TD outside the Platform to avoid fees
- Structuring, misreporting, or underreporting TD labor costs to reduce the fee
- Sharing TD contact information with third parties for the purpose of off-platform engagement
- Using the Platform to identify TDs and then engaging them through another channel
If you wish to move a relationship off-platform, contact us to arrange a buyout or conversion fee. We may pursue any remedy available at law or equity for circumvention, including recovery of the fees that would have been owed plus collection costs, and termination of your account.
This Section does not apply to relationships a Company can document as pre-existing before the Platform introduction.
7. Independent Contractor Relationships
TDs are independent contractors of the Companies that engage them, not employees, agents, or contractors of Event ConnecTD. Nothing in these Terms or on the Platform creates an employment, agency, partnership, or joint venture relationship between Event ConnecTD and any user. Companies and TDs are solely responsible for their own compliance with applicable labor, tax, worker classification, insurance, and immigration laws in connection with their engagements.
8. User Conduct
You agree not to:
- Provide false, misleading, or fraudulent information
- Impersonate any person or misrepresent your affiliation
- Circumvent or attempt to circumvent Platform fees
- Harass, threaten, discriminate against, or abuse other users
- Post content that is unlawful, defamatory, or infringing
- Scrape, harvest, or collect user data without authorization
- Upload viruses, malicious code, or interfere with Platform operation
- Use the Platform for any unlawful purpose
9. User Content
You retain ownership of content you submit to the Platform, including profiles, photos, program history, and reviews ("User Content"). You grant Event ConnecTD a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and use User Content to operate, promote, and improve the Platform.
You represent that you have the rights to the content you submit and that it does not violate any third party's rights. We may remove User Content at our discretion.
10. Intellectual Property
The Platform, including its software, design, branding, logos, and all content other than User Content, is owned by Event ConnecTD or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the Platform without our prior written permission.
11. Reviews and Feedback
Users may submit ratings and reviews. Reviews must be honest, based on actual experience, and comply with Section 8. We may moderate or remove reviews but are not obligated to do so, and we are not responsible for their content. Any feedback or suggestions you provide about the Platform may be used by us without restriction or compensation.
12. Third-Party Services
The Platform may integrate with or link to third-party services (for example, payment, scheduling, or communication tools). We are not responsible for third-party services, and your use of them is governed by their own terms.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:
- User information, profiles, or references are accurate or complete
- Any engagement, opportunity, or income will result from Platform use
- The Platform will be uninterrupted, secure, or error-free
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENT CONNECTD AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, consequential, special, or punitive damages
- Lost profits, lost revenue, or lost business opportunities
- The acts, omissions, or performance of any user, including any TD engaged through the Platform
- Disputes between users, including payment disputes between Companies and TDs
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO EVENT CONNECTD IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).
15. Indemnification
You agree to defend, indemnify, and hold harmless Event ConnecTD and its officers, members, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Platform
- Your User Content
- Any engagement or dispute between you and another user
- Your violation of these Terms or any law
- For Companies: any claim that a TD you engaged is your employee, or any claim arising from worker classification, wages, taxes, or benefits related to your engagements
16. Dispute Resolution and Arbitration
Informal resolution first. Before filing any claim, you agree to contact us at the email in Section 20 and attempt in good faith to resolve the dispute informally for at least 30 days.
Arbitration. Any dispute arising out of these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place on an individual basis. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and Event ConnecTD each waive the right to participate in any class, collective, or representative action.
Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief in court for intellectual property infringement or fee circumvention.
17. Termination
We may suspend or terminate your access at any time for violation of these Terms. You may close your account by written request to the email in Section 20. Sections that by their nature should survive termination (including Sections 5, 6, 9, 10, and 13 through 19) survive.
18. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new "Last Updated" date and, for material changes, provide notice through the Platform or by email. Continued use after changes take effect constitutes acceptance.
19. General
Governing law. These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles.
Entire agreement. These Terms, together with our Privacy Policy and any written fee agreement, are the entire agreement between you and Event ConnecTD regarding the Platform.
Severability. If any provision is found unenforceable, the rest of these Terms remain in effect.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
